One working session where tax, visa and liability questions are decided together, because a structure that optimizes one and breaks the others fails.

Delaware, Texas, California or where your operations actually are. C-corp vs LLC, modeled for your profile rather than a template.
Incorporation & filings
Formation documents, registered agent, bylaws or operating agreement, initial resolutions, and state registrations.
Ownership & cap table design
Who owns what, through what, designed so the qualifying relationship for an L-1A or the nationality test for an E-2 is satisfied from day one.
EIN & banking
Federal tax ID and a real U.S. business bank account, including the introductions that get a foreign-owned newco through bank compliance.
Office & business presence
A real, leasable office, including ready-to-occupy space at our Fremont, California headquarters, plus phones and a credible U.S. web presence built by our in-house technology team. The substance officers check first.
Licenses & insurance
State and local business licenses, plus general liability, product and workers-comp cover placed before you trade.
Importer-of-record transfer
Where you already import, standing is moved onto the new entity without interrupting shipments.
How we do it

Design
The structure workshop settles state, entity type and ownership, documented in a memo your home-country advisers can review.
02
Form
Filings, registered agent, EIN and governing documents completed; the company legally exists, typically within two weeks.
03
Activate
Banking, office, phones, website, licenses and insurance, the difference between a certificate and a company.

Evidence
Every artifact is filed into the corporate record we maintain, the same record your visa filing and your auditors will draw on later.
Watch this: Ownership design is nearly impossible to fix cheaply later. An entity owned by the wrong person, or through the wrong holding company, can disqualify an otherwise perfect L-1A or E-2 case.

Formation, registered-agent coordination, bookkeeping setup and banking introductions run through our in-house U.S. accounting practice, the same team that will keep the books. Physical office space is available at our own Fremont, California headquarters.
